1. About these terms
These Terms of Service ("Terms") govern your use of parahelp.com and its subpages (the "Website"). The Website is operated by Copilot Labs, Inc., 431 Bryant St, San Francisco, CA 94107, United States ("Parahelp", "we", "us" or "our"). Our Danish subsidiary, OWND ApS, Nyhavn 14, st., 1051 Copenhagen, Denmark, supports us and is our point of contact in the EU.
By using the Website you agree to these Terms. If you use the Website on behalf of a company, you agree to them on its behalf. If you do not agree, please do not use the Website.
2. The Parahelp platform
These Terms cover the Website only. Access to and use of the Parahelp platform, including app.parahelp.com, our AI agents and related services, is governed by the written agreement between the customer and Parahelp (Copilot Labs, Inc. or OWND ApS, as stated in that agreement), together with any order form and Data Processing Addendum. If these Terms conflict with that agreement, the agreement prevails.
3. Using the Website
You may use the Website to learn about Parahelp, read our content, book a demo, apply for a job and contact us. You agree not to:
use the Website in a way that breaks the law or infringes anyone's rights;
try to gain unauthorized access to the Website, our systems or anyone else's data, or probe, scan or test their vulnerability without our written permission;
interfere with or disrupt the Website, including by introducing malware or placing an unreasonable load on our infrastructure;
use bots, scrapers or other automated means to access or copy the Website in bulk, except for search engines indexing public pages in line with our robots.txt;
submit false information, impersonate anyone, or misrepresent your affiliation with a company when you book a demo or contact us;
copy, resell or commercially exploit the Website or its content, except as these Terms allow.
We may suspend or block access to the Website if we reasonably believe you are breaking these Terms.
If you believe you have found a security vulnerability, please report it to security@parahelp.com instead of testing it on our live systems. Our security documentation is available at trust.parahelp.com.
4. Our content and trademarks
The Website and its content, including text, graphics, videos, logos and software, are owned by Copilot Labs, Inc. or our licensors and are protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable and revocable right to view and use the Website for your own information or to evaluate Parahelp for your business. You may share links to our pages and quote short excerpts with attribution. All other rights are reserved.
"Parahelp" and our logos are our trademarks, and you may not use them without our prior written consent. Customer names and logos shown on the Website belong to their respective owners.
5. Information you send us
When you book a demo, contact us, apply for a role or otherwise send us information, you confirm that it is accurate and that you have the right to share it. How we handle personal information is described in our Privacy Policy.
If you send us ideas, suggestions or feedback about Parahelp, we may use them freely and without any obligation to you.
6. Privacy and cookies
Our Privacy Policy and Cookie Policy explain what information we collect through the Website, how we use it, and the choices you have, including how to accept or reject optional cookies through our cookie banner and the Cookie settings link in the footer. Please read them.
7. Third-party links and services
The Website links to and embeds services run by others, for example LinkedIn, X and the Cal.com booking widget on our Book a demo page. We are not responsible for their content, availability or practices, and your use of them is governed by their own terms and privacy policies.
8. Disclaimers
The Website and its content are provided for general information about Parahelp. Product descriptions, examples, customer stories, pricing and feature information may change at any time and do not form part of any contract. What we provide to customers is governed by the customer agreement described in section 2.
To the fullest extent permitted by law, the Website is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Website will be uninterrupted, secure or error-free, or that its content is complete, accurate or up to date.
9. Limitation of liability
To the fullest extent permitted by law, Copilot Labs, Inc., OWND ApS and their officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Website or these Terms, even if they have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Website or these Terms is limited to one hundred US dollars (USD 100).
These limitations do not apply to liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limitations, so some of them may not apply to you.
10. Indemnity
If you use the Website on behalf of a business, that business agrees to indemnify Copilot Labs, Inc. and OWND ApS against third-party claims, and related losses and reasonable legal fees, arising from its breach of these Terms or misuse of the Website.
11. Changes to the Website and these Terms
We may change or discontinue any part of the Website at any time. We may also update these Terms. When we do, we will post the new version here with a new "last updated" date. Updated Terms apply from that date and do not apply to disputes that arose before it. If you keep using the Website after an update, the updated Terms apply to you.
12. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Website, are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in San Francisco County, California, have exclusive jurisdiction, and you and we consent to their jurisdiction.
If you are a consumer in the EU/EEA, the UK or Switzerland, you also benefit from any mandatory provisions of the law of the country where you live, and you may bring proceedings in the courts of that country.
13. General
These Terms are the entire agreement between you and us about the Website and replace any earlier website terms. They do not replace or amend any customer agreement. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship.
